Terms of Service.

Welcome to StayNaija. These Terms of Service ("Terms") govern your access to and use of StayNaija’s websites, software platforms (the "Dashboard"), API integrations, and related hardware telemetry modules (collectively, the "Services").

Please read these Terms carefully before utilizing our Services. By registering a property or activating StayNaija hardware, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a hotel or corporate entity, you warrant that you have the authority to bind such entity.

1. Scope of Service & Hardware

StayNaija provides a real-time operational telemetry layer that connects Property Management Systems (PMS) directly to room energy networks.

• Hardware Installation: StayNaija hardware modules must be installed by StayNaija-certified technicians or in strict accordance with our engineering manuals. Incorrect installation can result in equipment damage or operational failures.
• System License: We grant you a limited, non-exclusive, non-transferable, revocable license to access the StayNaija Software Dashboard solely for your internal property management.
• Offline Resilience: Our local area network fallback is designed to support local operations when internet access drops. However, synchronization and remote monitoring features require an active internet connection.

2. Customer Account Responsibilities

To use our Dashboard, you must register a corporate account and assign individual credentials to authorized property managers and staff. You agree to:

• Maintain the confidentiality of login credentials.
• Be fully responsible for all actions taken under your administrative accounts.
• Notify us immediately at info@staynaija.ng if you suspect any security breach or unauthorized access.

3. Payment Terms & Subscription

Use of StayNaija Services involves both upfront hardware/setup fees and ongoing software subscription fees:

• Invoicing & Fees: Hardware setups and pilot installations are invoiced and paid according to signed Service Level Agreements (SLAs). Subscription software fees are billed monthly or annually as selected during setup.
• Taxes: All fees are exclusive of applicable value-added taxes (VAT) or other local levies, which are the customer's responsibility.
• Late Payments: Accounts with payments overdue by more than 30 days may experience temporary suspension of access to the remote Software Dashboard and API channels.

4. Restrictions on Use

You agree not to, and will not permit any third party to:

• Reverse-engineer, decompile, or disassemble StayNaija hardware modules or software platforms.
• Use our telemetry infrastructure to create a competing room automation or energy-management product.
• Bypass any safety sensors, security features, or manager overrides programmed into the distribution boards.

5. Intellectual Property Rights

All intellectual property rights in and to the StayNaija hardware, telemetry logic, database structure, dashboard software, visual brand assets, and custom source code are owned exclusively by StayNaija and our licensors. These Terms do not transfer any intellectual property rights to you.

6. Limitation of Liability

To the maximum extent permitted by applicable law, StayNaija shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or guest goodwill arising out of or related to your use of the Services.

We are not responsible for power outages, grid instability, solar battery depletion, or generator failures resulting from external utility issues, hardware malfunctions outside StayNaija modules, or actions taken by unqualified staff.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably through mutual consultation. If unresolved, disputes will be referred to binding arbitration in Lagos, Nigeria.

8. Term & Termination

This agreement remains in effect as long as you maintain an active StayNaija account or operate our telemetry hardware. Either party may terminate this agreement upon 30 days' written notice if the other party commits a material breach that remains uncured.
